How difficult is it to update the computer when I change differential gears on a 96 ODB2 system from factory 294 to 323?

Not hard at but you the need to have a tuner with the OBD adapter unit or a Jet DST tuner and be a bit familiar with it. The changes are in one place and you can change tire size at the same time. All the shiftpoints and such will change automatically when you do the gears and/or tires, at least with the the DST which is what I have.

Just got the Jet DST. Hope to find time this week to try it. Tire size already changed, 323 axle is still in the garage.

Since I am using a complete factory 323 axle it should have the right reluctor for the gears, and not impact the ABS, right?

The correct reluctor will be in the axle.
